Effective October 1, SOP 50 10 8.1 reorganizes the SBA 7(a) rulebook, incorporates several secondary market policies already in effect, and introduces additional changes that affect loan structure and secondary market execution.

For lenders, the challenge is separating what actually changes October 1 from what SBA is carrying forward from earlier procedural notices, then understanding what those distinctions mean for transaction execution.

This Coleman webinar is designed as a working session for experienced SBA lenders and secondary market professionals. David Parrish will examine the revised SOP from the perspective of transaction execution, including where lenders have additional structuring choices, where existing procedures may change and where revised language creates implementation questions.

David’s previous Coleman sessions have focused on how loan structure affects investor demand, secondary market pricing, and gain-on-sale income. This session extends that discussion to SOP 50 10 8.1 and the decisions lenders will make under the revised SOP.

David is President of Deerwood Advisors and previously served as Manager of the SBA Secondary Market Group within SBA’s Office of Capital Access. He brings direct experience with SBA secondary market policy, lender execution and the operating issues involved in preparing guaranteed portions for sale.

• How the lien timing rule affects loans sold after the lien has been filed but before evidence of recordation is received.

• What lenders must retain and track when evidence of lien recordation remains pending after the sale.

• The lender’s continuing responsibility for lien perfection and required priority after a guaranteed portion has been sold.

• SOFR, the 5-year Treasury Note Rate and the 10-year Treasury Note Rate as Alternative Base Rates and how those options are incorporated into SOP 50 10 8.1.

• How alternative rate choices may affect borrower pricing, reset frequency, investor demand and secondary market execution.

• What the removal of the prior language limiting sale timing during a front end interest only period means in practice and which implementation questions remain.

• Electronic signatures on Form 1088 and other secondary market transfer and sale documentation.

• Which existing secondary market requirements remain substantively unchanged under the reorganized SOP.
